Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before purchasing and using the repository (the "Service") operated by Ship'ngin ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

1. Introduction and Acceptance of Terms

This document is a legally binding agreement between you, the user ("you", "your"), and Ship'ngin, a company registered in Germany ("we", "us", "our"). By purchasing and using our digital product, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.

2. Scope of Service and Permitted Use

Our digital product is a git monorepo repository of several applications (auth, payments, organizations, etc.) designed to help customers ship their SaaS ideas faster and easier.

Upon purchase, you are granted a non-exclusive, non-transferable, perpetual license to use the contents of the repository for personal and commercial projects. You are permitted to modify the resources for your own projects.

Usage Restrictions

You are expressly prohibited from:

  • Reselling, redistributing, or sub-licensing the repository or any of its individual components.
  • Sharing your access to the repository with any other individual or entity.
  • Using the repository or its contents for any illegal or fraudulent activities.
  • Reverse engineering or decompiling any part of the repository.

3. Account Registration and User Responsibilities

To access the repository, you may be required to provide certain information. You agree to provide accurate, current, and complete information during the registration process.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. We are not liable for any loss or damage arising from your failure to comply with this security obligation.

You are responsible for all activities that occur under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Intellectual Property Rights

We retain all rights, title, and interest in and to the digital product, including all copyrights, patents, trademarks, trade secrets, and other intellectual property rights. The sale of access to the repository does not constitute a transfer of ownership of any intellectual property.

5. Payment, and Refunds

Access to the repository is granted upon a one-time payment. This fee grants you lifetime access to the repository as it exists at the time of your purchase and to any future updates.

Refund Policy: Due to the digital nature of our product, we generally do not offer refunds once access has been granted. However, we may consider refunds on a case-by-case basis at our sole discretion.

6. Data Privacy and Security

Your use of the Service is also governed by our Privacy Policy, which can be found here: Privacy Policy. Our Privacy Policy explains how we collect, use, and protect your personal data.

We implement and maintain reasonable, commercially acceptable security procedures and practices appropriate to the nature of the information we store, in order to protect it from unauthorized access, destruction, use, modification, or disclosure.

7. Disclaimers and Limitation of Liability

"As Is" Clause: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, regarding the operation or availability of the Service, or the information, content, materials, or products included therein.

Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall Ship'ngin, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Indemnification: You agree to defend, indemnify and hold harmless Ship'ngin and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

8. Term and Termination

This agreement commences upon your purchase and continues for the lifetime of the Service.

You may terminate your use of the Service at any time.

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease.

9. General and Legal Provisions

These Terms shall be governed and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Munich, Germany, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

We encourage you to contact us first to resolve any disputes. If a dispute cannot be resolved through informal means, we agree to first try to resolve the dispute by mediation.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
